Sales Policy and Minimum Advertised Price (MAP) Agreement

In order to build and preserve the integrity of Walkabout Health Products (WHP) we have established the following guidelines and policies:

1. Aside from WHP's subsidiaries and websites, all products will only be sold to stocking and non-stocking health care practitioners and select health retail stores.
2. All advertised prices must be at or above MAP for all products purchased from Walkabout Health Products.
3. Resellers are responsible for ensuring their pricing is at or above MAP on Internet search engines.
4. MAP applies to advertising; resellers are free to set the actual resale price of any product.
5. Walkabout Health Products reserves the right to adjust the MAP regarding all or certain products at its sole discretion.

WHP Sales Policy and MAP Agreement applies to advertising placements, including but not limited to: print ads (insert, newspapers, catalogs, magazines, mail order catalogs, promotional pieces, journals, etc.) broadcast (radio and TV), direct mail Internet placement with third parties, faxes, (banner and broadcast emails, destination pages, third-party sites, etc.), Internet placement on reseller’s own website, and any flyers, coupons or posters.

Internet Sales and Distribution

Internet sales are restricted to your website(s). Products purchased from WHP cannot be sold via shopping engines (Nextag, Shopzilla, etc.), online marketplaces (Amazon, eBay, Yahoo stores, etc) or affiliate networks (Amazon, Commission Junction, etc).

Internet Site Pricing

Pricing listed on an Internet site is considered “advertised price” and must adhere to WHP’s MAP Policy and MAP agreement.

Pricing Statements

WHP’s MAP Policy and Agreement does allow resellers to omit pricing entirely from the advertisements and/or ad statements such as “call for price” or “call for quote.” Free shipping and/or handling does not violate the MAP.

Failure to Comply

Intentional and/or repeated failure to abide by this policy will result in termination of the reseller’s agreement. WHP will not provide prior notice or issue warnings before taking any action under this policy. The terms of this Sales Policy and MAP Agreement are confidential and should not be disclosed to other parties. This Sales Policy and MAP have been established by WHP to help ensure the reputation and integrity of WHP and its products. This WHP Sales Policy and MAP Agreement is made by and between WHP and all Resellers. WHP places great value on the efforts of all resellers to distribute our products and support their customers. Our Sales Policy and MAP Agreement is intended to encourage the sale of WHP in a manner that is consistent with the long-term interests of our customers.
